Welcome to HelpingGeeks CRM!
These terms and conditions ("Vendor Terms") govern partnerships where you integrate your products or services with our Platform available at https://whatsapp-beta.helpinggeeks.com. By offering your products or services through the Platform, you agree to comply with these Vendor Terms. If you do not agree with any part of these Vendor Terms, please refrain from participating in our Platform.
Acceptance of Vendor Terms
By integrating your products or services with HelpingGeeks CRM's Platform, you acknowledge that you have read, understood, and agree to be bound by these Vendor Terms, as well as any additional terms and conditions that may apply to specific features or services. These Vendor Terms constitute a legally binding agreement between you and HelpingGeeks CRM.
Use of Services
Eligibility: You must have the legal capacity to enter into these Vendor Terms. By participating in our Platform, you represent and warrant that you are legally authorised to do so.
Integration and Support: Ensure that your Offerings comply with technical requirements and standards provided by HelpingGeeks CRM. Provide support to end-users as needed.
Data Handling: Ensure that any personally identifiable information collected through the Platform is handled securely and in accordance with applicable privacy laws.
Compliance: Comply with all applicable laws and regulations when providing Offerings through the Platform.
Intellectual Property and Ownership
Ownership of Your Offerings: All intellectual property rights in your Offerings remain with you. However, you grant HelpingGeeks CRM a non-exclusive license to display and promote your Offerings on the Platform.
Platform Ownership: HelpingGeeks CRM retains all rights to its Platform.
Payment and Revenue Sharing
Payment terms and any revenue sharing arrangements will be outlined in a separate agreement between you and HelpingGeeks CRM.
Limitation of Liability
To the extent permitted by applicable laws, HelpingGeeks CRM and its affiliates, directors, employees, or agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your participation in the Platform, even if advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold HelpingGeeks CRM, its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your participation in the Platform or your violation of these Vendor Terms.
Termination
HelpingGeeks CRM reserves the right to suspend, restrict, or terminate your participation in the Platform, without notice or liability, for any reason, including but not limited to a breach of these Vendor Terms.
Governing Law and Jurisdiction
These Vendor Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Vendor Terms shall be brought exclusively in the competent courts of India.
Severability
If any provision of these Vendor Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Changes to the Vendor Terms
HelpingGeeks CRM reserves the right to modify or update these Vendor Terms at any time without prior notice. Any changes will be effective immediately upon posting on our Platform. It is your responsibility to review these Vendor Terms periodically for any updates.
